Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the websites, platforms, and services provided by HumAIn Technologies Ltd ("HumAIn", "we", "us", "our"), a company incorporated in Cyprus with operations in London, United Kingdom.

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services

HumAIn provides AI-powered content automation and marketing technology platforms, including but not limited to:

• Automated content generation, rendering, and social media distribution
• Brand-specific content engines with multi-platform publishing
• White-labelled dashboard platforms for clients and their end users
• Performance analytics and content intelligence

Services are provided on a software-as-a-service (SaaS) basis. Specific service terms, pricing, and scope are defined in individual client agreements.

3. Accounts and Access

To access our platforms, you may be required to create an account or be provisioned access by your organisation. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Intellectual Property

Our IP: All technology, software, AI models, algorithms, pipeline architectures, prompt engineering, system designs, aggregate intelligence, sector-level insights, and platform code are the exclusive intellectual property of HumAIn Technologies Ltd. Clients receive a licence to use the platform; they do not acquire ownership of any underlying technology.

Your Content: You retain ownership of all content, brand assets, media, and data you upload to our platform. By uploading content, you grant us a licence to use it for the purpose of providing our services (content generation, rendering, publishing, and performance analysis).

Generated Content: Content generated by our platform using your brand profile and guidelines is licensed to you for your unrestricted commercial use. The underlying AI systems and methodologies used to generate that content remain our intellectual property.

Aggregate Intelligence: Anonymised, aggregate insights derived from cross-client and cross-sector analysis are the exclusive property of HumAIn Technologies Ltd. This aggregate intelligence does not contain identifiable client data and is used to improve our AI models and services for all clients.

5. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code or algorithms of our platform
• Attempt to access, copy, or reconstruct our AI models, prompts, pipeline architecture, or system designs
• Use the platform to generate content that is unlawful, defamatory, or infringes third-party rights
• Resell, sublicence, or redistribute access to the platform without our written consent
• Introduce malicious code or attempt to compromise platform security
• Use the platform in a manner that could harm our systems, other clients, or third parties

6. Service Availability

We aim to maintain high availability of our platforms but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for service interruptions caused by factors outside our reasonable control, including third-party platform outages, internet connectivity issues, or force majeure events.

7. Data Processing

Our collection and use of personal data is governed by our Privacy Policy. For clients under service agreements, data processing terms are specified in the applicable Data Processing Agreement (DPA).

8. Third-Party Services

Our platform integrates with third-party services including social media platforms (Meta, TikTok, LinkedIn, X, YouTube), media rendering services, and AI model providers. Your use of these services through our platform is also subject to their respective terms of service. We are not responsible for the availability, terms, or practices of third-party services.

9. Fees and Payment

Service fees are as specified in your individual client agreement. Unless otherwise agreed:

• Fees are billed monthly in advance
• Payment is due within 14 days of invoice
• We reserve the right to suspend services for overdue accounts after reasonable notice
• Fees do not include applicable taxes, which are your responsibility

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
• We are not liable for the performance or engagement results of AI-generated content, as results depend on many factors outside our control

11. Indemnification

You agree to indemnify and hold HumAIn harmless from any claims, damages, or expenses arising from your use of the platform, your content, or your breach of these Terms.

12. Confidentiality

Both parties agree to treat as confidential any non-public information shared during the course of the service relationship, including but not limited to platform architecture details, pricing terms, business strategies, and client data. Confidentiality obligations survive termination of the service agreement.

13. Termination

Either party may terminate the service relationship in accordance with the terms of the applicable client agreement. Upon termination:

• Your access to the platform will be revoked
• We will provide a reasonable period (minimum 30 days) for you to export your content and data
• We will delete your data from our active systems within 90 days of termination, subject to legal retention requirements
• Aggregate, anonymised intelligence derived from your data prior to termination remains the property of HumAIn

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active clients via email at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
